What can we do for you?
Corporate Advisory advises on initial public offerings (IPOs) for non-listed companies aiming to list their shares on Eurolist or Alternext by Euronext Amsterdam. In an IPO, new and/or existing shares are offered to institutional and/or retail investors. This is realised by means of an efficient process of valuing, structuring, (pre)marketing, selling and allocating shares to both institutional and retail investors.
Corporate Advisory holds a leading position in executing secondary share offerings. Secondary offerings consist of placing new and/or existing shares with institutional and/or retail investors. Corporate Advisory handles the whole process from documentation to marketing, selling and allocating the shares. These offerings can have a public or a private placement character.
Corporate Advisory offers the structuring and placing of convertible and exchangeable bonds (equity-linked products). Corporate Advisory has a joint-venture with KBC Financial Products, which is part of KBC Bank and is one of the leading banks in the field of equity-linked products in Europe.
Corporate Advisory combines the relevant ECM and M&A expertise to offer its clients the most efficient public offer process. Corporate Advisory is well equipped to advise on process execution, take care of communication with financial authorities, including the Netherlands Authority for the Financial Markets (AFM) and Euronext Amsterdam, and/or to fulfil the role of paying and exchange agent. Rabo Securities is, as an Admitted Institution of Euronext Amsterdam, able to offer its clients all the expertise needed to facilitate a delisting process.
In a rights issue, Corporate Advisory assists listed companies in placing new shares with existing shareholders pro-rata to their existing holdings. Corporate Advisory takes care of the documentation, marketing, sale and allocation of the shares.
If clients wish to acquire or dispose of large shareholdings in a certain public company, in one or more trades, Corporate Advisory has excellent capabilities and know-how to place these 'blocks of shares' with one or more institutional buyers in the market.
Corporate Advisory assists public companies in acquiring their own shares in the market, for example in connection with a company’s share buy-back scheme, employee stock option plan or repurchase of preference shares. These share repurchases include both blocks of shares through open-market purchases and privately negotiated block trades.
For foreign and domestic companies with their stock listed on foreign stock exchanges, a dual listing on Euronext Amsterdam can be an attractive option to increase liquidity. Corporate Advisory structures the listing process, handles the transaction documentation, communication with Euronext Amsterdam and the marketing of the shares with institutional and retail investors.
