Announcement on Rabo Extra Member Bonds and Rabobank Membership Certificates

Rabobank Nederland announces that it has decided to exercise its right to convert 25% of the initial nominal value of € 100 (i.e. € 25) per Rabo Extra Member Bond into a Rabobank Membership Certificate on 30 December 2010. The conversion will increase the number of Rabobank Membership Certificates in issue by 9 million to 255,069,080 (+ 3.66%) at 30 December 2010.

Under Rabo Extra Member Bonds, Rabobank Nederland has the right to convert 25% of the initial nominal value of € 100 (€ 25) of one Rabo Extra Member Bond into one Rabobank Membership Certificate on 30 December 2010, 30 December 2011, 30 December 2012 and 30 December 2013. The traded price of Rabobank Membership Certificates exceeded € 24 on the past three days of trading, which is a condition for Rabobank Nederland to be permitted to decide to proceed to the conversion.

Following the conversion, the nominal value of each Rabo Extra Member Bond will decrease by € 25 to a remaining nominal value of € 75.
